Circadia Plus Business Accelerator Terms and Conditions

Agreement

Welcome to the Circadia Plus Business Accelerator (“Program”). By enrolling, you (“Retailer”) agree to the following terms, designed to ensure clarity, fairness, and mutual success.

1. Program Benefits

Members receive exclusive benefits to support their business growth, including:

  • Free shipping on up to 4 orders per month at circadia.com
    (for spa/business purchases only; not valid for dropshipping).

  • Free gifts or samples included with orders over $150.

  • Retail Locator listing to help new customers find you (see Section 4 for details).

  • Access to Circadia University courses:

    • Monthly Members: Once per quarter, receive a coupon code to access one advanced course for free.

    • Annual Members: Unlimited access to all advanced courses during the membership term.

    • Not applicable for Dermaplane Certification Course

  • Elevated Dropshipping Program access through circadiaretailer.com, with:

    • $7 flat shipping to consumer customers.

    • Free shipping on consumer orders over $150.

Note: Benefits may evolve over time. Circadia reserves the right to update or modify benefits at its discretion.

2. Membership Commitment & Payments

  • Minimum Commitment: Enrollment requires a three (3) month minimum commitment, regardless of billing plan.

  • Monthly Plan: Members agree to remain enrolled for at least three consecutive months. After this period, cancellation is permitted without penalty.

  • Annual Plan: Members who enroll annually may cancel after the first three months and receive a prorated refund for the unused portion of their membership, less applicable fees (see Course Access & Refund Adjustment).

  • Refund Policy: Except as noted above, all payments are non-refundable.

Course Access & Refund Adjustment

  • Monthly Members: Receive one free advanced course coupon per quarter. Since this benefit is time-released, no refund adjustments are required.

  • Annual Members: Receive free access to all advanced courses for the year. If an annual member cancels early, a fee of $100 per advanced course redeemed will be deducted from the prorated refund.

This ensures fairness while protecting the value of Circadia University, which currently offers nearly $2,000 in advanced certification courses.

3. Commissions & Payments

During enrollment, members must select one of the following commission options for retail sales:

  • 40% Commission in Cash: Paid monthly by direct deposit or Wisely Paycard.

  • 50% Commission in Product Credit: Applied as credit for purchases on circadia.com for the member’s spa.

Commission type is selected during onboarding and remains in place unless changed with Circadia’s written approval.

Commissions are calculated on sales (less refunds/chargebacks) and paid or applied monthly.

4. Retail Locator

Retailers listed on the Circadia Retail Locator are eligible to receive local leads.

  • No Guarantee: Placement does not guarantee lead volume, as leads are distributed based on proximity and demand.

5. Elevated Drop Shipping Program

The Circadia Plus Business Accelerator provides a drop-shipping service to the Retailer via a custom URL.

  • When a client makes a purchase through the Retailer’s customized URL:

    • Circadia will collect payment on behalf of the Retailer.

    • Circadia will remit any applicable sales tax.

    • Circadia will facilitate shipping directly to the client.

Shipping Structure for Consumers

  • $7 flat rate shipping on all consumer orders.

  • Free shipping for consumer orders over $150.

Prohibited Practice: Using circadia.com to ship directly to consumers is strictly prohibited. Free shipping on circadia.com applies only to business orders placed by, and shipped to, the spa itself.

Monitoring & Enforcement: Violations may result in removal from the dropshipping program, loss of free shipping benefits, or removal from the Program altogether.

Retailer Information: When a purchase is made through a Retailer’s customized URL, Circadia will share:

  • Customer name, contact details, and shipping address.

  • Order details, including items purchased and payment confirmation.

The Retailer is responsible for maintaining client relationships, while Circadia facilitates drop-shipping and payment collection.

6. Promotions & Special Offers

  • Circadia may offer limited-time promotions, incentives, or bonus opportunities.

  • Participation is subject to availability and program rules.

  • Circadia reserves the right to modify, extend, or discontinue promotions at its discretion.

7. General Terms

  • No Refunds Beyond Policy: Except as outlined in Section 2, all fees are non-refundable.

  • Program Adjustments: Circadia may modify program benefits, policies, or features at any time, with or without notice.

  • Cause for Removal: Circadia reserves the right to remove a member for policy violations, misuse of benefits, or conduct deemed detrimental.

  • No Guarantee of Results: The Program supports business growth but does not guarantee outcomes, revenue, or lead generation.

  • Right to Refuse Service: Circadia may refuse service to anyone at any time for any reason.

  • Data Transfer: You understand that your content (excluding credit card information) may be transmitted unencrypted across networks. Credit card data is always encrypted during transfer.

  • Use Restrictions: Retailer agrees not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission.

8. Termination

  • These Terms remain in effect until terminated by either party.

  • Retailers may terminate at any time by notifying Circadia at hello@circadia.com

  • If a Retailer fails to comply with any provision, Circadia may terminate without notice. Retailer remains liable for all amounts due up to the termination date.

9. Ownership & Use Statement

The software, website, domain, and all associated subdomains of the Program are the sole property of Circadia.

  • They are owned and operated exclusively by Circadia and protected under applicable intellectual property and cybersecurity laws.

  • Copying, reproducing, distributing, reverse-engineering, or engaging in any unauthorized or malicious activity is strictly prohibited and may result in legal action.

By enrolling in the Circadia Plus Business Accelerator, you acknowledge and agree to these Terms & Conditions.
